Maple Budget Terms of Use

Acceptance of Terms

By creating an account or using the App, you confirm that you are at least the age of majority in your jurisdiction and capable of entering into a legally binding agreement. If you are using the App on behalf of an organization, you agree to these Terms on behalf of that organization.

Modifications to Terms

We reserve the right to modify these Terms at any time. Any changes will be effective immediately upon posting the updated Terms within the App or on our website. Your continued use of the App after any such changes constitutes your acceptance of the new Terms.

Privacy and Data Protection

• Registration: To access certain features of the App, you may be required to create a Maple Budget account. You agree to provide accurate, current, and complete information during the registration process and to update such information as necessary.
• ‍Account Security: You are responsible for maintaining the confidentiality of your Maple Budget account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
• ‍Account Termination: We reserve the right to suspend or terminate your account at our discretion if we suspect any violation of these Terms or fraudulent activity.

User Accounts

Your privacy is important to us. Please review our Privacy Policy, which explains how we collect, use, and protect your personal information.

• Compliance with Laws: We comply with all applicable data protection laws, including the General Data Protection Regulation (GDPR) for users in the European Union and the Personal Information Protection and Electronic Documents Act (PIPEDA) in Canada.

User Accounts

• Ownership: You retain all rights to the content you submit, post, or display on or through the App ("User Content").
• License Grant: By uploading User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content solely for the purpose of providing and improving the App.
• Responsibility: You are solely responsible for your User Content. You represent and warrant that you have all rights necessary to grant us the license above and that your User Content does not violate any laws or third-party rights.

Intellectual Property Rights

• Our Content: The App and its entire contents, features, and functionality are owned by Maple Ventures Core Inc., its licensors, or other providers of such material and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
• License to You: We grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App for your personal, non-commercial use, strictly in accordance with these Terms.

Prohibited Activities

You agree not to engage in any of the following prohibited activities:

• Illegal Activities: Using the App for any unlawful purpose or in violation of any applicable laws.
• Unauthorized Access: Attempting to gain unauthorized access to any other user's account or our systems.
• Harmful Conduct: Uploading or transmitting viruses, malware, or any other harmful code.
• Harassment: Engaging in any harassing, threatening, intimidating, predatory, or stalking conduct.
• Intellectual Property Infringement: Uploading or sharing content that infringes on any third party's intellectual property rights.

Third-Party Services and Content

• Links to Third Parties: The App may contain links to third-party websites, services, or resources that are not owned or controlled by us.
• No Endorsement: We do not endorse any third-party content and are not responsible for the availability, accuracy, or reliability of such content.
• Your Responsibility: Your dealings with third parties found on or through the App are solely between you and the third party.

Disclaimers

• No Financial Advice: The App is intended for informational purposes only and should not be considered financial advice. Always consult a qualified professional before making financial decisions.
• "As Is" Basis: The App is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied.
• No Warranty: We do not warrant that the App will be uninterrupted, secure, or error-free, or that any defects will be corrected.

Limitation of Liability

To the maximum extent permitted by law:

• Indirect Damages: We shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages.
• Aggregate Liability: Our total liability to you for all claims arising out of or relating to these Terms or the App shall not exceed the amount you have paid us in the past twelve months, if any.

Indemnification

You agree to defend, indemnify, and hold harmless Maple Ventures Core Inc., its affiliates, and their respective directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising from your use of the App or violation of these Terms.

Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions.

Dispute Resolution

• Arbitration: Any disputes arising out of or relating to these Terms or the App shall be resolved through binding arbitration in accordance with the rules of the Canadian Arbitration Association.
• Location: The arbitration shall take place in Ontario, Canada.
• Opt-Out: You have the right to opt-out of this arbitration agreement by notifying us in writing within 30 days of accepting these Terms.

International Users

• Availability: While the App is accessible worldwide, we make no representation that the App or related content is appropriate or available for use in all locations.
• Compliance: Users who access the App from outside Canada are responsible for compliance with local laws and regulations.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and us regarding the App and supersede all prior agreements.

Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Assignment

You may not assign any of your rights under these Terms without our prior written consent. We may assign our rights to any of our affiliates or subsidiaries or to any successor in interest of any business associated with the App.
